PROGRAMME AGREEMENT
BETWEEN : THE INSIGHTFUL COLLECTIVE
(hereinafter the “Seller”)
AND : CLIENT
(hereinafter the “Buyer”)
WHEREAS the Seller offers business training services and support through its Business Acceleration Programme (hereinafter the “Programme”);
WHEREAS the Buyer operates a business wishing to join the programme and to avail
itself of the services and other advantages associated therewith;
THE PARTIES HERETO THEREFORE AGREE AS FOLLOWS:
- PAYMENT: This is the payment option that the buyer has chosen:
Payment in full, or in instalments (Group programme only) – Buyer give specified amount upon registering.
- TERM:
Self-study Programme – no specified term
Group Programme – Ten (10) consecutive weeks. The agreement is renewable if mutually agreed.
Group Programme first Q&A session: Thursday 1st, February 2024 and Thursdays for specified term excepting seller illness and seller holidays
- SELLER’S GROUP PROGRAMME OBLIGATIONS: In consideration for Buyer’s group programme payment, Seller will provide the following:
(i) ACCOUNTABILITY – weekly check-in via the Q&A sessions to verify Buyer’s progress,
to hold Buyer accountable and to offer support as needed;
(ii) EXPERTISE – Buyer will have access to the Seller via the weekly sessions;
(iii) COMMUNITY – Seller will endeavour to give Buyer access to a dynamic and supportive peer group of intelligent, dedicated entrepreneurs who are members of the Programme;
(iv) COACHING – Seller as an expert coach will guide Buyer throughout the program,
assisting Buyer to explore his/her options and to feel confident in his/her business
decisions
- GROUP PRPGRAMME GUARANTEE: We take the success of our Group programme members very seriously. So, as a member, you are protected and supported by a guarantee. As long as you work collaboratively with your coach, complete the work, – in other words, if you participate and do your part to create your success, then you will be protected and supported by a guarantee:
The Seller’s Group Programme “Can’t Lose” Guarantee: the Buyer will generate AT LEAST two good prospects either during the Group Programme or within a month of the Programme ending.
- If the Group Programme Buyer doesn’t meet this target, the Seller will provide, at no expense to the Buyer, two (2) one to one coaching sessions within two months of the Group Programme ending to get the Buyer back on track.
- CANCELLATION: Where contracts are registered away from business premises whether they involve cash or credit and regardless of whether any discount is offered, unless the Buyer has started the first module the Buyer has the right to cancel this Agreement if written notification is received at 8 Oast Lodge, Corney Reach Way, London, W4 2TN or an email is received at Denise@insightfulcollective.co.uk within fourteen days from the date on which the contract was agreed. Upon receipt the Buyer’s deposit or full payment, if received, will be returned.
Buyer understands and agrees that membership in the Group Programme is limited and that no replacements are possible. Buyer therefore commits to the Programme for the entire Term.
At any time during the term of this agreement, should Buyer be more than thirty (30)
days late in effecting any payment due hereunder, Seller may consider Buyer to
have cancelled their membership, in which case 50% of the balance still owing under
the agreement will immediately become due and payable, without further notice.
- TERMINATION FOR CAUSE: Seller may terminate Buyer’s membership and participation in the Programme, in whole or in part (including restricting Buyer’s access to certain part of the program), at its entire discretion, upon written notice, and without providing any refund or reimbursement, if Buyer’s conduct is found to be rude, disrespectful, unprofessional, offensive or otherwise inappropriate or if he/she makes any false or fraudulent representations. In such event Buyer will not be entitled to the benefit of any guarantee from Seller.
- LIMITATION OF LIABILITY: Seller (including its agents, representatives, employees,
suppliers and insurers) will not be responsible for any damages suffered by
Buyer or any 3rd parties, unless such damages are directly caused by intentional
fault or gross negligence. In no event will Seller be responsible for indirect, incidental
or consequential damages including, without limitation, lost profits, business interruption and loss of business information.
- CONFIDENTIALITY: Buyer acknowledges that during the course of the Programme, he/she will receive private and confidential information regarding the Programme, its personnel and other Programme members. Buyer undertakes to keep such information strictly confidential, to use such information only for the purposes of his/her membership in Programme and to refrain from revealing any such information
to any 3rd parties.
Seller undertakes to keep strictly confidential any private and confidential information received during the course of this agreement concerning the Buyer and to use such information solely for the purposes of Buyer’s membership in the Programme. Buyer and Seller agree to return any and all materials received from each other after the termination of Buyer’s membership immediately upon request. The terms of the present Confidentiality clause shall survive the termination of the present agreement
and will remain in full force and effect for a period of two (2) years following the end of Buyer’s membership in the Programme.
- COPYRIGHT: Information and documents provided to Buyer in connection with
his/her Programme membership includes copyrighted materials, trademarks and other
proprietary information. Buyer is granted a limited license, for his/her personal use
only, to use such copyrighted materials. Commercial use of any such materials by
Buyer is strictly prohibited and may result in the termination of Buyer’s Programme membership and/or in prosecution. Buyer understands and agrees that he/she may not
modify, publish, transmit, participate in the transfer or sale of, create derivative works
of, or in any way exploit, in whole or in part, any proprietary information or materials.
- LICENSE: All images, text, contents, products and scripts provided to Buyer by
Seller are licensed and never sold, transferred or assigned, unless otherwise provided
in writing. Reproduction is prohibited. Buyer may not use, copy, emulate,
clone, rent, lease, sell, assign, modify, decompile, disassemble, reverse engineer or
transfer the licensed program or product, or any part or subset of the licensed program
or product, except as specifically provided in this agreement or as expressly
agreed by Seller in writing. Any unauthorised use by Buyer or its agents, representatives or employees shall result in the immediate termination of such licenses and of Buyer’s Programme membership and may result in prosecution. Seller reserves all its legal rights and recourses with respect to all such materials.
- ASSIGNMENT: Buyer may not assign his/her rights under this agreement without
Seller’s prior written consent.
- ENTIRE AGREEMENT: The present document contains all the terms and conditions
relating to the present transaction. No other representations or warranties have
been made or given by the Seller. The present document replaces and supersedes
any previous verbal and written agreements and may only be modified with the express written agreement of Seller.
- WAIVER
The failure by either party to enforce at any time or for any period any one of more of the terms or conditions of this contract shall not be a waiver of them or of the right at any time subsequently to enforce all terms and conditions of the contract.
- FORCE MAJEURE
Neither party shall be liable for any breach of its obligations resulting from causes beyond its reasonable control.Causes deemed beyond reasonable control shall include:
- Death, illness or injury to the Seller or subcontractor
- Death, illness or injury to a close family member of the Seller or subcontractor.
Each of the parties agrees to give immediate notice to the other upon becoming aware of an event of force majeure.
- JURISDICTION: The parties agree irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.

EXHIBIT A : GROUP PROGRAMME GUARANTEE DETAILS
- GROUP PROGRAMME GUARANTEE: We take the success of our Group Programme members very seriously. So, as a Group Programme member, you are protected and supported by a guarantee. As long as you work collaboratively, complete your work, and attend the sessions – in other words, if you participate and do your part to create your success, then you will be protected and supported by a guarantee:
Our “Can’t Lose” Group Programme Guarantee: You will generate AT LEAST 2 good prospects in your business either during the Group Programme or within a month of the Group Programme ending.
If you don’t meet this target, the Seller will provide, at no expense to yourself, 2 one to one coaching sessions, within two months of the Programme ending to get you back on track.
- STUDENT’S COMMITMENT TO THEIR SUCCESS TO QUALIFY FOR
GROUP PROGRAMME GUARANTEE:
- It takes time to grow the business and with the support of the Group Programme, the business growth will be accelerated. You should still expect to work 4 – 7 hours per week on business development activities.
- Regular attendance of the sessions are an important component of being
successful in the program. As such, qualifying for a guarantee is contingent on attending all the planned sessions.
- Weekly progress updates through the Q&A sessions help foster accountability. Additionally, it is your responsibility to flag issues in the Q&A that are hindering your progress, to allow the problem to be solved quickly.
